Terms and Conditions 

These terms and conditions of use apply to all users of the Disney RideShare Website (the 'Website') and Disney Commuter Assistance. By clicking the "I accept" button when you log in, you are stating that you agree to be bound by the Terms of Use and that you have read and understand the guidelines of the Commuter Assistance program. You understand that your information may be used and distributed by Commuter Assistance for carpool and/ or vanpool matching. You are stating that all information provided by you is true and correct. You understand that falsification of any information provided in this enrollment or related to reporting your commuting activity will result in disciplinary action, not excluding dismissal. Enrollment is subject to verification by Commuter Assistance. If you do not agree to be bound by these Terms of Use then you should stop using and accessing the Website.


The Corporate Transportation Demand Management department of Disney Worldwide Services, Inc. provides a Commuter Assistance program to Disney employees and operating participants in the United States. The mission of the Commuter Assistance program is to promote the use of alternatives to driving alone and provide a wide range of services to support those commuting alternatives.

* Different sites are eligible for certain program incentives. Please see below for program guidelines and eligibility.


All U.S. Disney Sites

Eligibility*

To be eligible to join the Commuter Assistance program, all of the following must apply: 

•      Employee or Cast Member of Disney or any subsidiary (on a Disney payroll system)

•      Primary office or work location must be a Disney worksite in the United States.

•      Commute to work one or more days each month by one or more of the commuting choices below.

Operating Participants and Daily Hires are eligible for selected program incentives. Please see below for program guidelines and eligibility.

 

Transit/Vanpool – WageWorks Commuter Benefits Program

Transit is defined as traveling to work by public or private buses, vanpools, shuttles, trains, rail lines or ferry. You may purchase transit passes using a Transit Pretax Program (stored value card or tickets mailed home depending on transit agencies). Save up to 30% of the first $265 of your monthly transit cost by using pretax dollars to purchase your passes. The transit pretax benefit is subject to change at any time, without prior notice.

 

Parking– Pretax Purchase Program

Parking near or at the worksite and transit related parking (not residential). $265 or the IRS value, may be set aside using pretax dollars. Cost exceeding pretax limit is deducted after tax. The pretax benefit is subject to change at any time, without prior notice.

 

Promotion/Marketing

Commuter Assistance may offer promotions and opportunity drawings to increase participation and encourage Employees/Cast Members to enroll in the Commuter Assistance program. All enrolled participants are automatically included in promotions. Each promotion has rules that are available through Commuter Assistance.

 

Communication (email/mail/texting/phone)

Phone/email/US mail/texting provides you with information from DisneyCommuterAssistance.com as a means of communication to make you aware of potential ridesharing opportunities, Emergency Ride Home information and general Commuter Assistance outreach. Messages may be sent from numerous short codes and may be in any format, including but not limited to SMS or MMS, to the mobile number you have provided (“Mobile Number”). 

 

Opt-in (texting)

When you enroll in DisneyCommuterAssistance.com and provide your Mobile Number you consent to receive via text to your Mobile Number including all information and messages DisneyCommuterAssistance.com chooses to send, private and sensitive. Text messages may be sent using an automatic telephone dialing system, from or on behalf of DisneyCommuterAssistance.com to your Mobile Number. 

Opt-out (texting)

You may Opt-Out or discontinue Texting to your Mobile Number at any time by updating your Personal Profile in DisneyCommuterAssistance.com by removing your Mobile Number.   

User Fees (texting)

Message and data rates may apply from your Mobile Service Provider. By participating in Texting, you agree to receive mobile contacts on the Mobile Number and responsible for any mobile message or data charges incurred. Check with your service provider for details on specific fees and charges that may apply.

 

Individual Commute Planning

Personalized commute planning is available through Commuter Assistance. These services include, but are not limited to:

  • Carpool matching
  • Vanpool matching and formation 
  • Train route planning
  • Bus schedules and routes
  • Bicycle route planning
  • Walk route planning
  • Park and ride assistance
  • Shuttle schedules and routes

     

    Alternative Commuting Options


    Bicycle

    A non-motorized vehicle between home and work. An Employee or Cast Member has commuted by Bike if the commute is completed entirely on a bike.   


    Walk/Jog

    Commuting between home and work entirely on foot


    Bus/Subway

    Traveling to work by public or private buses, shuttles, light rail/subway 


    Train

    Commuting to work using heavy rail 


    Carpool

    Defined as two or more commuters sharing a car to work 

    This includes: 

  • Riding with a fellow Cast Member/ Employee
  • Riding with a non-Disney employee
  • Dropped off by a friend or family member on their way to work
  • Dropping off a friend or family member on the way to work
  • Sharing at least 50% of the trip with a child or student
  • Dropped off at work using a Rideshare App (Lyft, Uber, Taxi, etc)

     

    Vanpool

    A vanpool consists of six or more commuters riding together in a Disney vehicle, with capacity for at least six passengers and a driver, to work. Vanpools work best for those with consistent work schedules and each group determines their own commute schedule and pick-up/drop-off locations. 


    Zero Emission Vehicle

    A zero emission vehicle is defined as a 100% electric vehicle or a Plug-In Hybrid Electric Vehicle (PHEV) that meets the definition of a zero emission vehicle under federal law. A Cast Member/employee has commuted by a Zero Emission Vehicle if the entire trip to work is made exclusively under electric power. This applies to plug-in vehicles with all electric range that can travel exclusively under electric power without use of the gasoline engine or cogeneration system.


    Workweek Alternatives*

    Working 4/40 (4/10) or 9/80 workweeks instead of a regular five-day week

    Telecommuting (teleworking)*

    Working from home one or more days per week

    * Prior management approval required. 



    RideShare Apps (Lyft Share, Uber Pool, etc)

    Commuting to work using a RideShare App by sharing the ride with up to 6 other people on your route.




    The Disneyland Resort


    Eligibility

    To be eligible to join the Commuter Assistance program, all of the following must apply: 

    •      Must be a Disneyland Cast Member 

    •      The Cast Member’s primary office or work location must be a Disney worksite in Orange County.

    •      The Cast Member must commute to work one or more days each month by one or more of the commuting choices below

    Alternative Commuting Options

     

    Bicycle

    A non-motorized vehicle between home and workAn Employee or Cast Member has commuted by Bike if the commute is completed entirely on a bike.  

  • Bicycle commuters earn $2 each day they report activity. 
  • A reported bike trip cannot be combined with any other mode. For example: if you bike and take a bus a portion of the way to work, you must report “bus”.

      

    Walk/Jog

    Commuting between home and work entirely on foot

  • Walk commuters earn $2 each day they report activity. 
  • A walking trip cannot be combined with any other mode. If any vehicle was used for even a small portion of the commute, the trip cannot be counted as a walking commute.

 

Bus/Subway

Traveling to work by public or private buses, shuttles, light rail/subway 

  • Bus commuters earn $1 each day they report activity.
  • Bus commuting does NOT include employee or Cast Member shuttles, unless that is the ONLY vehicle used during the entire commute.

 

OCTA Employer Pass (Perk-Pass) 

The OCTA Perk-Pass is a free bus pass that gives Cast Members unlimited bus transportation to and from work at the Disneyland Resort. A Perk-pass is available to all Disney Cast Members who qualify at the Disneyland® Resort. Cast Members must be enrolled in the Commuter Assistance program and apply for their Perk-Pass directly through Commuter Assistance. Once enrolled, participants must report their Perk-pass activity online or by swiping Disney’s Commuter Card. All Perk-Pass activity is recorded and tracked. Perk-passes are non- transferable and may be deactivated upon termination of employment, non-use, non –reporting, leave of absence, or abuse, as determined by Commuter Assistance. A lost or stolen Perk-Pass can be deactivated within 24 hours. Lost or stolen passes must be reported to Commuter Assistance. Perk-Passes will be replaced a maximum of five times before Cast Member becomes ineligible for the program. The Perk-Pass may be used in conjunction with other commuting choices, report bus on workday(s) Perk Pass is used. Non-Disney Cast Members are not eligible for Perk-Pass. 

 

Transit Passes 

To be eligible for the subsidy, you must purchase transit passes using a Transit Pretax Program (tickets mailed home depending on transit agencies). If purchasing a Metro Pass, only two passes are eligible for Disney subsidy: TAP Card LAMTA- 30 Day Pass or TAP EZ Pass. If you are not riding Metro, any ticket you select is eligible for the Disney subsidy. You will receive a subsidy of 75% off the regular purchase price, up to $100 per month. Save up to 30% of the first $265 of your monthly transit cost using pretax dollars to purchase your passes. 

 

Actual tax savings vary according to the Cast Member’s individual tax circumstance. Subject to IRS rules. 

 

Carpool

Defined as two or more commuters sharing a car to work at least 50% of the commute

This includes: 

Riding with a fellow Cast Member/ Employee

  • Riding with a non-Disney employee
  • Dropped off by a friend or family member on their way to work
  • Dropped off at work using a Rideshare App (Lyft, Uber, Taxi etc)
  • Dropping off a friend or family member on the way to work
  • Sharing at least 50% of the trip with a child or student
  • Carpool and “3+ Carpool” commuters earn $1 each day they report activity.
    • *3+ Carpool commuters arrive to work with 3 or more person in a vehicle. 3+ Carpool does not apply to vanpool riders.

 

Preferred/Scramble Parking

Carpool parking is available in most Cast Member and Employee parking lots. To be eligible to park in these spaces, Cast Members and Employees must be enrolled in the Disney Commuter Assistance program and at least two persons must be in the vehicle when arriving at a carpool space to finish a commute. All preferred parking spaces are administered through Commuter Assistance and monitored 24 hours per day, 7 days per week.

Reserved Parking

At the Team Disney Anaheim (TDA) parking structure, some carpool spaces are marked “Platinum Reserved Parking.” To be eligible to park in these spaces, Employees must be enrolled in the Disney Commuter Assistance program, report carpool an average of three days per week, and when carpooling, at least two persons must be in the vehicle when parking in a carpool space. All preferred parking spaces are administered through Commuter Assistance and monitored 24 hours per day, 7 days per week.
 

Zero Emission Vehicle

A zero emission vehicle is defined as a 100% electric vehicle or a Plug-In Hybrid Electric Vehicle (PHEV) that meets the definition of a zero emission vehicle under federal law.     Metrolink Passes

    You can purchase Metrolink passes using a Transit Pretax Program (stored value card). You will receive a subsidy of 75% off the regular purchase price, up to $100 per month. Save up to 30% of the first $265 of your monthly transit cost using pretax dollars.

    Actual tax savings vary according to the Cast Member’s individual tax circumstance.

     

    Vanpool

    A vanpool consists of six or more commuters riding together in a Disney vehicle, with capacity for at least six passengers and a driver, to work. Vanpools work best for those with consistent work schedules and each group determines their own commute schedule and pick-up/drop-off locations. 

  •  Vanpool commuters and Vanpool drivers earn $1 per day they report activity.

     

     

    Disney Vanpool Program

    The Disney-sponsored Vanpool program allows Cast Members to start a vanpool with as few as six riders and pay fares through payroll deductions. Vanpool seats are discounted by 75% (up to $100 a month) tax-free, and you may set aside up to $165 more as pretax income to increase savings. Subject to IRS rules. Vans meeting certain ridership criteria also receive a $400 monthly subsidy from METRO, SANDAG or OCTA to further reduce the seat cost. To be eligible for the subsidy, the remaining seat cost must be paid through Disney’s Commuter Assistance pretax provider. Primary drivers usually ride free and may also be eligible for free personal miles for the use of the van. Preferred vanpool parking is also available in most Cast Member and Employee parking lots. Vanpool spaces are assigned through Commuter Assistance and monitored 24 hours per day, 7 days per week.

     

    Non-Disney Vanpool Program

    Cast Members who ride on a vanpool from another company, organization, or agency are eligible for a 75% (up to $100 a month) reimbursement for the cost of their vanpool seatPayment arrangements or reimbursement is made through the Disney Commuter Assistance pretax provider. Actual tax savings vary according to the Cast Member’s individual tax circumstance. Subject to IRS rules. 

     

    Workweek Alternatives*

    Working 4/40 (4/10) or 9/80 workweeks instead of a regular five-day week 

  • Cast Members can earn $1 each day they do not commute to work out of a five-day workweek and report activity.

    Telecommuting (teleworking)*

  • Employees can earn $1 each day they do not commute to work out of a five-day workweek and report activity.

    * Prior management approval required. 

     

    RideShare Apps (Lyft Share and Uber Pool)

    Commuting to work using a RideShare App by sharing the ride with up to 6 other people on your route.

    Pre-tax Program

    If you use Rideshare Apps like Lyft Share to commute to work, you can sign up for Disney Commuter Assistance’s Transit Pre-tax Program. The WageWorks Commuter Card is a stored value debit card that you can use on Rideshare Apps to pay for your shared rides. You will receive a subsidy of 75% off the regular purchase price, up to $100 per month.

     

    Rideshare Apps with 6 person ride sharing are only available in select locations. Please make sure it’s available in your area before placing an order.

    * The Transit Pre-tax Program cannot be used on regular Uber and Lyft rides.  

     

     

     

     

    Emergency Ride Home

    Commuter Assistance provides a complimentary taxi ride, up to 12 times per calendar year and up to 200 miles per trip, for a participant who may encounter any of the following difficulties:

    •      Unplanned overtime or schedule change 

    •      Carpool partner/driver working unplanned overtime or leaving early for an emergency 

    •      Personal or family illness 

    •      Train or bus service cancellation 

    •      Train delays of one hour or more 

    •      Missed connector shuttle, train or bus 

    •      Inclement weather for a bicyclist or walker 

    •      Unplanned business meeting off site 

    •      Unplanned early release

     

    Emergency Ride Home is not available for the following situations: 

    •      Prior knowledge of overtime/schedule change 

    •      Scheduled doctor’s appointment 

    •      Voluntary early departure 

    •      Transportation to work 

    •      Car breakdowns on days not carpooling 

    •      “Inactive” program members 

    •      Not using a clean air commuting choice the day of the request.

     

    Commuter Assistance reserves the right to contact the Cast Member’s management to verify the need for this service. Also, at its sole discretion, Commuter Assistance may waive the maximum limit of 12 times per calendar year and/or the 200 mile per ride limit in any individual circumstance as well as the general use of Emergency Ride Home. 

     

     

    Reporting Activity

    Active program members report their commute activity by one of the following methods:  

     

    Disney’s Commuter Card: swipe the Commuter Card once a day, only on days of active rideshare participation. Commuter Card activity is updated into the commuter accounts on or about the next day. 

  • If a Commuter Card is lost or stolen, a $2 replacement fee will be charged to the Cast Member’s account balance. Commuter Cards will be replaced a maximum of 10 times before Cast Member/employee must report activity for the program using The Website.

     

    MyCommute App: report on the app, MyCommute, each day of scheduled work and of active rideshare participation. Can report the current, and past six days, using the app. MyCommute activity is updated into the commuter accounts on or about the next day. You can download the app at MyCommute.disney.com.

     

    DisneyCommuterAssistance.com: report online, on Disney Commuter Assistance Website, each day of scheduled work and of active rideshare participation, up to 30 days after the end of the reporting month. 

     

    Balance is held in the Commuter Assistance database and accumulates until redeemed.

    Failure of a member to report activity for a period of three months causes their status to become “inactive.” Inactive members are not eligible for program incentives. 

     

    Members are responsible for reporting commute activity accurately. Falsification of information of Rideshare activity may lead to disciplinary action not excluding dismissal. All Rideshare activity and information is subject to audit and review.

     

    Redeeming

    The following redemption options are currently available to Cast Members: 

     

    Payroll Redemption Option (PRO): with this option, funds are redeemable in $10 increments. The amount redeemed is credited to the Cast Member’s paycheck and will appear within two to three paychecks. Taxes of approximately 42% are deducted at the time the amount is awarded. 

     

     Redeem funds in one of the following ways: 

    •    Online using DisneyCommuterAssistance.com

    •      In person at the Commuter Assistance office

    Rideshare funds are non-transferable and may not be redeemed on a program member’s behalf by a fellow Cast Member or Employee without prior written consent. After funds are redeemed, no adjustments, exchanges, refunds, reinstatements, or reimbursements can be made. Accounts with funds exceeding $1,000 will automatically be redeemed so that the account balance is not greater than $1,000. All redemptions are final.

     

  • If you are leaving the company, please call 866-758-RIDE or email DisneyCommuterAssistance@disney.com to submit your final redemption request. Failure to contact Commuter Assistance for your final redemption could result in delays to redemption requests. Cast Members or Employees who have terminated employment must redeem within 60 days of termination to avoid forfeiture of all funds.

    Third Party Operating Participants (Orange County)


    Eligibility

    To be eligible to join the Commuter Assistance program, all of the following must apply:

    •      The employee’s primary office or work location must be at the Disneyland Resort.

    •      The employee must commute to work one or more days each month by one or more of the commuting choices below

     

    Bicycle

    A non-motorized vehicle between home and work 

    •      A reported bike trip cannot be combined with any other mode. For example: if you bike and take a bus a portion of the way to work, you must report “bus”.

     

    Walk/Jog

    Commuting between home and work entirely on foot

  •  A walking trip cannot be combined with any other mode. If any vehicle was used for even a small portion of the commute, the trip cannot be counted as a walking commute.

     

    Bus/Subway

    Traveling to work by public or private buses, shuttles, light rail/subway 

  • Bus travel must be more than 50% of the total commute distance

     

    Train

    Commuting to work using Metrolink, or Amtrak Trains 

     

     

    Carpool

    Defined as two or more commuters sharing a car to work 

    This includes: 

  • Riding with a Cast Member/ employee
  • Riding with a non-Disney employee
  • Dropped off by a friend or family member on their way to work
  •  Dropping off a friend or family member on the way to work
  •  Sharing at least 50% of the trip with a child or student

     

     

    Reporting Activity

    Active program members report their commute activity by one of the following methods:  Swipe Disney’s Commuter Card once a day, each day of scheduled work and of active participation, report online on The Website each day of scheduled work and of active participation up to 30 days after the end of the reporting month or, report on Disney’s MyCommute App each day of schedule work and of active participation up to 7 days. You can download the app at MyCommute.disney.com. Participants may use Disney’s Commuter Card and online reporting in the same month.

     

    Failure of a member to report activity for a period of three months causes their status to become “inactive.” Inactive members are not eligible for program incentives. 

     

    Quarterly Opportunity Drawings

    Disneyland resort operating participants who report their regular rideshare activity are automatically entered into quarterly opportunity drawings for a gift card. 

     

    Emergency Ride Services

    Commuter Assistance provides a complimentary taxi ride, up to 12 times per calendar year and up to 200 miles per trip, for a participant who may encounter any of the following difficulties:

    •      Unplanned overtime or schedule change 

    •      Carpool partner/driver working unplanned overtime or leaving early for an emergency

    Eligibility

    To be eligible to join the Commuter Assistance program, all of the following must apply:

    •      Must be an Employee or Cast Member of Disney or any subsidiary (on a Disney payroll system) 

    •      The Employee or Cast Member’s primary office or work location must be a Disney worksite in Los Angeles County

    •      The employee must commute to work one or more days each month by one or more of the commuting choices below

     

    Operating Participants/Daily Hires are eligible for selected program incentives. Please see below for program guidelines and eligibility. 

     

    Alternative Commuting Options

     

    Bicycle

    A non-motorized vehicle between home and work. An Employee or Cast Member has commuted by Bike if the trip from home to work is completed entirely on a bike.

    Preferred/Scramble Parking

    Carpool parking is available at the ABC Riverside building, the Frank G. Wells building, KABC, the Team Disney building, the Prospect Studios, GCBC, the Zorro parking structure and the Grand Central Creative Campus structure. To be eligible to park in these spaces, Employees and Cast Members must be enrolled in the Disney Commuter Assistance program and at least two persons must be in the vehicle when arriving at a carpool space to finish a commute. All scramble carpool parking spaces are administered through Commuter Assistance and monitored 24 hours per day, 7 days per week

     

    Zero Emission Vehicle

    A zero emission vehicle is defined as a 100% electric vehicle or a Plug-In Hybrid Electric Vehicle (PHEV) that meets the definition of a zero emission vehicle under federal law. An employee has commuted by a Zero Emission Vehicle if the entire trip to work is made exclusively under electric power. This applies to plug-in vehicles with all electric range that can travel exclusively under electric power without use of the gasoline engine or cogeneration system.

    LEV/FEV Scramble Parking

    LEV/FEV Parking is available at the Grand Central Creative Campus structure. A vehicle qualifies for a LEV, FEV or Electric Vehicle parking if it meets one or more of the following emission standards; LEV I, LEV II, PZEV, Bin 2, Bin 3, Bin 4, Bin 5, Bin 9, Bin 9, ULEV I,ULEV II, SULEV, SULEV II, ZEV. Use of designated LEV/FEV or Electric parking spaces is for registered participants driving to work using their LEV/FEV or Electric vehicle. Permits are not transferrable and cannot be used with a vehicle that is not registered with Commuter Assistance.

    Commuting to work using Metrolink or Amtrak Trains

    You can purchase Metrolink passes using a Transit Pre-tax Program (stored value card). You will receive a subsidy of 75% off the regular purchase price, up to $100 per month. Save up to 30% of the first $265 of your monthly transit cost using pretax dollars to purchase your passes.

    Actual tax savings vary according to the Cast Member’s individual tax circumstance. Subject to IRS rules. 

     

    Vanpool

    A vanpool consists of six or more commuters riding together in a Disney vehicle, with capacity for at least six passengers and a driver, to work. Vanpools work best for those with consistent work schedules and each group determines their own commute schedule and pick-up/drop-off locations. 

  • Vanpool commuters and Vanpool drivers earn $1 per day they report activity.

     

    Disney Vanpool Program

    The Disney-sponsored Vanpool program allows Employees to start a vanpool with as few as six riders and pay fares through payroll deductions. Vanpool seats are discounted, 75% (up to $100 a month) tax-free, and you may set aside up to $165 more as pre-tax income to increase savings. Subject to IRS rules. Vans meeting certain ridership criteria also receive a $400 monthly subsidy from Metro or OCTA to further reduce the seat cost. The remaining seat cost must be paid through Disney’s Commuter Assistance pre-tax provider. Primary drivers usually ride free and may also be eligible for free personal miles for the use of the van. Preferred vanpool parking is also available in most employee parking lots. Vanpool spaces are assigned through Commuter Assistance and monitored 24 hours per day, 7 days per week. 

     

     

    Non-Disney Vanpool Program

    Employees who ride on a vanpool from another company, organization, or agency are eligible for a 75% (up to $100 a month) reimbursement for the cost of their vanpool seatPayment arrangements or reimbursement is made through the Disney Commuter Assistance pre-tax provider. Actual tax savings vary according to the Employee’s individual tax circumstance.     •      Train or bus service cancellation 

    •      Train delays of one hour or more 

    •      Missed connector shuttle, train or bus 

    •      Inclement weather for a bicyclist or walker 

    •      Unplanned business meeting off site 

    •      Unplanned early release

     

    Emergency Ride Home is not available for the following situations: 

    •      Prior knowledge of overtime/schedule change 

    •      Scheduled doctor’s appointment 

    •      Voluntary early departure 

    •      Transportation to work 

    •      Car breakdowns on days not carpooling 

    •      “Inactive” program members 

    •      Not using a clean air commuting choice the day of the request.

     

    Commuter Assistance reserves the right to contact the Employee’s management to verify the need for this service. Also, at its sole discretion, Commuter Assistance may waive the maximum limit of 12 times per calendar year and/or the 200 mile per ride limit in any individual circumstance as well as the general use of Emergency Ride Home.

     

     

    Reporting Activity

    Active program members report their commute activity by one of the following methods:  

  • MyCommute App: report on the app, MyCommute, each day of scheduled work and of active rideshare participation. Can report the current, and past six days, using the app. MyCommute activity is updated into the commuter accounts on or about the next day. Download the app atMyCommute.disney.com.
  • DisneyCommuterAssistance.com: report online, on Disney Commuter Assistance Website, each day of scheduled work and of active rideshare participation, up to 30 days after the end of the reporting month. 

    Report activity only on day(s) that you use an approved alternate transportation to report to work. Balance is held in the Commuter Assistance database and accumulates until redeemed. Failure of a member to report activity for a period of three months causes their status to become “inactive.” Inactive members are not eligible for program incentives. 

    Members are responsible for reporting commute activity accurately. Falsification of information of Rideshare activity may lead to disciplinary action not excluding dismissal. All Rideshare activity and information is subject to audit and review.

     

    Redeeming

    The following redemption options are currently available:

     

    Payroll Redemption Option (PRO):  with this option, funds are redeemable in $10 increments. The amount redeemed is credited to the employee’s paycheck and the amount appears within two to three paychecks. Taxes of approximately 42%* are deducted at the time the amount is awarded.

    Eligibility

    To be eligible to join the Commuter Assistance program, all of the following must apply: 

    •    Must be a Disney Cast Member 

    •      Primary office or work location must be at El Capitan located at 6834 Hollywood Boulevard, Hollywood, CA, US

    •      The Cast Member must commute to work one or more days each month by one or more of the commuting choices below

     

    Bicycle

    A non-motorized vehicle between home and work. An Employee or Cast Member has commuted by bike if the trip from home to work is completed entirely on a bike.  

    • Bicycle commuters earn $2 each day they report activity. 
  • A reported bike trip cannot be combined with any other mode. For example, if you bike and take a bus a portion of the way to work, you must report “bus”.

     

    Walk/Jog

    Commuting between home and work entirely on foot

  • Bus commuters earn $1 each day they report activity.
  • Bus commuting does NOT include employee or Cast Member shuttles, unless that is the ONLY vehicle used during the entire commute.

     

    Transit Passes 

    You can purchase transit passes using a Transit Pretax Program (stored value card or passes mailed home depending on transit agencies). If purchasing a Metro Pass, only two passes are eligible for Disney subsidy: TAP Card LAMTA- 30 Day Pass or TAP EZ Pass. If you are not riding Metro, any ticket you select is eligible for the Disney subsidy. You will receive a subsidy of 75% off the regular purchase price, up to $100 per month. Save up to 30% of the first $265 of your monthly transit cost using pretax dollars to purchase your passes.     Carpool

    Defined as two or more commuters sharing a car to work. This includes: 

  • Riding with a fellow Cast Member/ Employee
  • Riding with a non-Disney employee

  • Dropping off a friend or family member on the way to work
  • Dropped off at work using a Rideshare App (Lyft, Uber, etc)
  • Sharing at least 50% of the trip with a child or student
  • Carpool commuters earn $1 each day they report activity

     

    Zero Emission Vehicle

    A zero emission vehicle is defined as a 100% electric vehicle or a Plug-In Hybrid Electric Vehicle (PHEV) that meets the definition of a zero emission vehicle under federal law. A Cast Member has commuted by a Zero Emission Vehicle if the entire trip to work is made exclusively under electric power. This applies to plug-in vehicles with all electric range that can cover the entire distance without use of the gasoline engine or cogeneration system.

  •  Zero emission vehicle commuters earn $1 each day they report activity

    •      Must have access The Hub and a MyDisney ID to report rideshare activity.

     

    Carpool

    Defined as two or more commuters sharing a car to work 

    This includes: 

  • Riding with a fellow Cast Member/ employee
  •  Riding with a non-Disney employee
  • Dropped off by a friend or family member on their way to work
  •  Dropping off a friend or family member on the way to work
  • Dropped off at work using a Rideshare App (Lyft, Uber, etc)[BCL15]
  • Sharing at least 50% of the trip with a child or student

     

    Scramble Carpool Parking

    Carpool parking is available at the ABC Riverside building, the Frank G. Wells, KABC, the Team Disney building, the Prospect Studios, GCBC, and the Zorro parking structure. To be eligible to park in these spaces, participants must be enrolled in the Disney Commuter Assistance program, report carpool an average of three days per week, and at least two persons must be in the vehicle when parking in a carpool space. All preferred parking spaces are administered through Commuter Assistance and monitored 24 hours per day, 7 days per week. 

     

    Vanpool

    You can purchase BART/CalTrain passes using a Transit Pret-ax Purchase Program (stored value card). You will receive a subsidy of 50% off the regular purchase price, up to $80 per month. Save up to 30% of the first $265 of your monthly transit cost using pre-tax dollars to purchase your passes. Actual tax savings vary according to the employee’s individual tax circumstance. Subject to IRS rules. 

     

    Vanpool

    A vanpool consists of six or more commuters riding together in a Disney vehicle, with capacity for at least six passengers and a driver, to work. Vanpools work best for those with consistent work schedules and each group determines their own commute schedule and pick-up/drop-off locations.  

  • Vanpool commuters and Vanpool drivers earn $1 per day they report activity.

     

    Non-Disney Vanpool Program

    Employees who ride on a vanpool from another company, organization, or agency are eligible for a 50% (up to $80 a month) reimbursement for the cost of their vanpool seatPayment arrangements or reimbursement is made through the Disney Commuter Assistance pre-tax provider. Actual tax savings vary according to the Employee’s individual tax circumstance. Subject to IRS rules. 

     

    Workweek Alternatives*

    Working 4/40 (4/10) or 9/80 workweeks instead of a regular five-day week

    Reporting Activity

    Active program members report their commute activity by one of the following methods:  

    MyCommute App: report on the app, MyCommute, each day of scheduled work and of active rideshare participation. Can report the current, and past six days, using the app. MyCommute activity is updated into the commuter accounts on or about the next day. Download the app atMyCommute.disney.com. 

    DisneyCommuterAssistance.com: report online, on Disney Commuter Assistance Website, each day of scheduled work and of active rideshare participation, up to 30 days after the end of the reporting month. 

    Report activity only on day(s) that you use an approved alternate transportation to report to work. Balance is held in the Commuter Assistance database and accumulates until redeemed. Failure of a member to report activity for a period of three months causes their status to become “inactive.” Inactive members are not eligible for program incentives. 

     Members are responsible for reporting commute activity accurately. Falsification of information of Rideshare activity may lead to disciplinary action not excluding dismissal. All Rideshare activity and information is subject to audit and review.

     

    Redeeming

    The following redemption options are currently available:

     

    Payroll Redemption Option (PRO):  with this option, funds are redeemable in $10 increments. The amount redeemed is credited to the employee’s paycheck and the amount appears within two to three paychecks. Taxes of approximately 42%* are deducted at the time the amount is awarded.

    Eligibility

    To be eligible to participate in the Commuter Assistance program, all of the following must apply:

    • Employees have an option to opt in or out each quarter

    • The Employee must participate and report commuting to work an average of 10 days per month if receiving an ORCA Card.

      Alternative Commuting Options

       

      Bicycle

      A non-motorized vehicle between home and work. An employee has commuted by bike if the trip from home to work is completed entirely on a bike.  

    • Bicycle commuters earn $3 each day they report activity. 
    • To earn $3 per day commuters must give up their parking space.
    • Bike racks are located just inside the main entrance to the Fourth and Madison Garage.
    • Employees who choose this option are eligible for up to ten days per quarter of company paid parking in the valet section of the Fourth and Madison Garage.  Validations are for personal use only and are not transferrable to other employees.

       

      Walk/Jog 

      Commuting between home and work entirely on foot

    • Walk commuters earn $3 each day they report activity.
    • To earn $3 per day commuters must give up their parking space.
    • Employees who choose this option are eligible for up to ten days per quarter of company paid parking in the valet section of the Fourth and Madison Garage.  Validations are for personal use only and are not transferrable to other employees.

       

      Bus/Train/Ferry

      Traveling to work by public or private buses, trains or ferries

    • Transit commuters qualify for a fully subsidized ORCA Card.


      • ORCA Card recipients are not eligible for $3 per day incentive.


    • To receive a subsidized pass, commuters must give up their parking pass.
    • To receive the subsidized pass, commuters must request an ORCA Card through the DisneyCommuterAssistance.com website and actively report their commute.
  • An average of 10 days of participation each month is required
  • Those not meeting the 10-day threshold will have three months to increase participation.


    • If 10-day threshold is not met the transit card request may be cancelled.


     

    ORCA Card Terms & Conditions:

    • The ORCA Card is owned by Disney and it has been provided for my home to work commute only. I agree that I will not sell or transfer my assigned ORCA Card to another person. If I violate these terms of use, my ORCA Card may be blocked from further use. I further understand that falsification of any information provided or related to reporting your commuting activity will result in disciplinary action, not excluding dismissal.
    • I will keep my assigned ORCA Card secure and in good condition, and I will immediately report a lost, stolen, or damaged ORCA Card to Disney Commuter Assistance at DisneyCommuterAssistance@disney.com. 
    • I will return my assigned ORCA Card upon request or when I leave my employment or otherwise do not meet the eligibility requirements. If I do not return my ORCA Card, I understand that it may be blocked for further use.
    • The ORCA Card is valid for the following provided by the listed transportation Agencies. 
      • 100% of fares on regularly scheduled transportation service on Community Transit, Everett Transit, Kitsap Transit and Kitsap Ferries, King County Water Taxi Metro Transit, Pierce Transit, Sound Transit, and Seattle Streetcar.
      • Washington State Ferry access can be added to your request, if necessary, to finish your commute
  • The ORCA Card is not valid for fare payment on transportation services not specified in Section 4 and I am responsible for paying any additional fares required for services not covered, or not fully covered, by my assigned ORCA Card. 
  • I understand that any additional ORCA Products I load onto my assigned ORCA Card will become the property of Disney and the refund, if any, of such products will be made by the company according to its refund policy. 
  • I understand in the event any ORCA Products I load onto my assigned ORCA Card must be replaced, I am responsible for any fares required during the replacement period.
  • I understand the ORCA system will record data each time I use my assigned ORCA Card. Data will include the date, time and location of the card when it is presented. I understand this data is owned by the transit Agencies and is accessible to Disney.
  • I understand that the ORCA Card must be “tapped” on a card reader to show proof of fare payment or issuance of a valid fare. Merely showing the ORCA Card on a bus, train, ferry or light rail vehicle does not constitute proof of fare payment or issuance of a valid fare. I will be subject to a fine if the ORCA Card is not "tapped," and I understand I will be personally responsible for any fines that may be imposed.
  • I understand that for the correct fare to be recorded, I must “tap” off on a card reader when exiting some transit systems. For example, I must "tap" off when exiting from a Sounder train or Link light rail.

     

     

    Vanpool

  • 9/80 is eligible for $3 per day for one day every two weeks only when reporting activity.
  • To earn $3 per day commuters must give up their parking space.

     

    Carpool

    Defined as two or more commuters sharing a car to work 

    This includes: 

  • Riding with a fellow Employee.
  • Being dropped off by friend, family member, or non-Disney employee on their way to work
  • Carpool commuters earn $3 each day they report their activity

     

    Carpool Parking

  • One parking spot will be given per carpool group, as long as two participants are regular Disney employees. Both employees must exchange their parking pass with the on-site coordinator to receive a carpool spot.

     

    Parking Validations

Vanpool Guidelines (Southern California)

VANPOOL PASSENGER AGREEMENT

THIS AGREEMENT, dated as of  today, upon acceptance  of this agreement of hereof, between DISNEY WORLDWIDE SERVICES, INC. located at 500 South Buena Vista Street, Burbank, CA 91521 (“Disney”) and (me) the Employee/ Cast Member.

WITNESSETH:

WHEREAS Disney desires to provide van commuter services to Disney employees and other eligible participants through its Vanpool Program, and

WHEREAS Disney has executed a Vanpool Services Agreement dated July 1, 1996 between Disney and Operator to provide passenger commuting vans (“Vehicles”) and transportation services to its employees under the Vanpool Program, and

WHEREAS Passenger desires to participate in the Vanpool Program to and from their place of residence and various Disney work sites.

NOW, THEREFORE, in consideration of the mutual covenants and obligations herein contained, the parties agree as follows:

 

1. Definitions

The following terms used in this Agreement shall have the following meanings, applicable both in the singular and plural forms of the term defined:

(a) “Driver” means any qualified Disney employee designated as either a “Primary

Driver”, “Co-Driver,” or “Alternate Driver,” as those terms are defined in the Vanpool

Guidelines, who has signed a Vanpool Driver Agreement, and has been authorized 

in writing by Disney and Operator to operate a Vehicle under the Vanpool Program.

(b)“Alternate Driver” means a person who has been approved, in writing, by VPSI as an Alternate Driver and has signed an Alternate Volunteer Driver Agreement.

(c) “Operator” means any private or public contractor that provides passenger commuting Vehicles and employee transportation services under the Vanpool Program.

(d) “Passenger” means any qualified passenger designated as either a “Passenger,” “Casual Passenger,” “Non-Disney Passenger,” “Substitute Passenger,” or “Seat-Sharing Passenger,” as those terms are defined in the Vanpool Guidelines, who has signed a Vanpool Passenger Agreement to participate in the Vanpool Program.

(e) “Vanpool Guidelines” means the internal guidelines and policies developed by Disney to inform participating employees about the responsibilities and requirements of the Disney Vanpool Program.

 (f) “Vanpool Passenger Agreement” means any agreement between Disney and qualified passengers relating to ridership in a vehicle under the Vanpool Program.

(g) “Vanpool Program” means the employee-based ride-sharing incentive program structured to provide vehicle transportation services to Disney employees and other eligible participants.

 

2. General.

(a) Passenger agrees to participate in the Vanpool Program under the terms and conditions of the Vanpool Guidelines.

(b) Passenger understands and agrees that only qualified Drivers are allowed to use or operate the Vehicle to transport Passengers unless prior authorization has been granted by the Vanpool Administrator.

(c) Passenger is authorized to use and operate the Vehicle during normal business hours at the Driver’s discretion; provided however that (i) the Passenger has agreed to serve as an “Alternate Driver” and has signed the Vanpool Driver Agreement, (ii) the Passenger has a valid operator’s license, (iii) such use does not conflict with the use of the Vehicle under Disney’s Vanpool Program, and (iv) the Passenger has been approved as a Driver by Disney.

 

3. Representations of Passenger.    

 Passenger represents and warrants that Passenger will:

(a) Use his/her best efforts to recruit additional passengers any time ridership in the Vehicle falls below 100% capacity;

(b) Pay each month’s fare in full on the first of each calendar month or weekly deduction each month;

(c) Assist the Vanpool Administrator with recruiting Drivers as needed;

(d) Wear a seat belt at all times;

(e) Refrain at all times while in the Van from (i) the consumption of alcohol or controlled substances and (ii) smoking;

(f) Be available at your pick-up points at the regularly scheduled time, as previously agreed with Driver;

(g) Promptly comply with requests of Driver;

 (h) Provide the Vanpool Administrator with fifteen (15) calendar days prior written notice if Passenger intends to relinquish a reserved seat in the Vehicle:

(i) Promptly provide written notice to Driver and the Vanpool Administrator of any changes in Passenger’s regular riding schedule;

(j) Promptly provide notice to Driver if Passenger is unexpectedly unable for any reason to ride in the Vehicle either to or from work; and

(k) Comply in all respects with Section 7.0 (Passenger Eligibility and Responsibilities) of the Vanpool Guidelines.

 

4. Term.

 This Vanpool Passenger Agreement becomes effective on the date that the Passenger and an authorized Disney representative have both executed the Agreement authorizing the Passenger to ride in the Vehicle under the stated terms and conditions.

 

5. Use Charge.

(a) Any person who has signed the Vanpool Passenger Agreement and who Disney has authorized as a Passenger under the Vanpool Program is entitled to ride the Vehicle in exchange for payment of the designated Vanpool Rate for that particular Vehicle.

(b) Full-Time Passengers who are not Disney employees shall pay the Monthly Vanpool Rate to Driver one (1) month in advance by personal check made payable to “Disney Vanpool,” as provided in the Vanpool Guidelines

(c) Disney or non-Disney Casual Passengers shall pay the appropriate Daily Vanpool Rate to Driver by personal check at the end of the month for each trip times the daily fare made payable to “Disney Vanpool,” as provided in the Vanpool Guidelines.

(d) Full-Time Passengers who are Disney employees must pay the fare through automatic payroll deduction.

 

6. Passenger Removal.

 Passenger may be removed from the Vanpool Program for any of the following reasons:

(a) Failure to pay fares on time;

(b) Excessive tardiness at pickup and drop-off locations;

 (c) Being inconsiderate to fellow Passengers, i.e., talking too loudly, using profanity, making obscene gestures, distracting or harassing Driver, wearing excessive cologne/perfume, poor personal hygiene, etc.;

(d) Smoking or the use of alcoholic beverages or illegal substances in the van;

(e) Failure to cooperate with any reasonable request by Driver;

(f) Failure to comply with the regulations listed in the Vanpool Guidelines or Vanpool Passenger Agreement;

(g) Failure to cooperate during mediation efforts of a vanpool dispute between Passengers and/or Drivers;

(h) Not complying with Group’s Vanpool Ground Rules; or

(i) Failure to adhere to Company Rules.

 

7. Bumping Rights of Non-Disney or Casual Passengers

 In addition to the removal provisions of Section 6 hereof, Non-Disney or any Casual Passengers may be removed from the Vanpool Group if a Full-Time Disney Passenger needs a seat on the van. Removal will occur based on vanpool seniority and Passenger status.

 

8. Insurance.

(a) Passenger understands that Operator will provide standard comprehensive automobile physical damage insurance and shall assume the risk of loss of or damage to the Vehicle.

(b) Neither Disney nor Operator will be responsible for any loss of or damage to any personal property which is left in or on the Vehicle.

(c) Passenger will cooperate fully with Disney, Operator, its insurer and other agents or representatives in all accident investigations and settlements.

 

9. Fare Structures and Financial Arrangements.

(a) Full-time Disney Passengers understand and agree that by executing this Agreement they consent to pay their Vanpool fare through a weekly payroll deduction.  Restitution will be made to employees, where appropriate, if an excess amount has been deducted.

(b)Full-time Disney Passengers pay weekly through payroll deduction.

(c) Part-time Disney Passengers pay the daily fare times the total number of days each month that he/she rode the van. This payment is made by check payable to “Disney Vanpool,” and given to the Driver at the end of each corresponding month.

(d) Full-time Non-Disney Passengers pay in advance, at the end of each month for the following month. This payment is made by check payable to “Disney Vanpool,” and given to the Driver at the end of the month.

(e) Part-time Non-Disney Passengers pay the daily fare times the total number of days each month that he/she rode the van. This payment is made by check payable to “Disney Vanpool,” and given to the Driver at the end of the month.

 

10. Termination.

This Agreement may be terminated by Disney at any time. Passengers may terminate this Agreement by giving Disney and Driver fifteen (15) days prior notice. Disney passengers on payroll deduction must notify the Vanpool Administrator at least one (1) week before termination to STOP their automatic payroll deduction on time.

 

11. Notices

All notices and/or other correspondence under this Agreement must be in writing and delivered in person or sent by U.S. mail to the applicable party at its address set forth on the signature page of the Agreement, or to such other address as such party may provide in writing from time to time.

 

VANPOOL DRIVER AGREEMENT

THIS AGREEMENT, dated as of  today upon acceptance  of the agreement of hereof, between DISNEY WORLDWIDE SERVICES, INC. located at 500 South Buena Vista Street, Burbank, CA 91521 (“Disney”) and (me) the Employee/ Cast Member.

WITNESSETH:

WHEREAS Disney desires to provide van commuter services to Disney employees and other eligible participants through its Vanpool Program, and

WHEREAS Operator offers passenger commuting vans and employee commuter services, more specifically described with the VAN POOL SERVICES AGREEMENT.

WHEREAS Driver desires to participate in the Vanpool Program by offering to drive Disney employees and other eligible participants to and from their place of residence and various Disney work sites.

(f) “Vanpool Passenger Agreement” means any agreement between Disney and qualified passengers relating to ridership in a vehicle under the Vanpool Program.

 (g) “Vanpool Program” means the employee-based ride-sharing incentive program structured to provide vehicle transportation services to Disney employees and other eligible participants.

2. General.

(a) Driver agrees to participate in the Vanpool Program as a volunteer driver and will use the Vehicle to pick up, transport, and deliver Passengers to and from their residences (or other locations agreed to by Driver and the Passengers) and their places of employment (or other locations agreed to by Driver and the Passengers), and further agrees that the use of the Vehicle for the purposes permitted under this agreement will not be construed as “being engaged in transportation as a business.”

(b) Driver is not an agent, servant or employee of Operator; such parties are independent parties participating with others in a ridesharing arrangement. Any Vehicle assigned by Disney under this Agreement is the property of Operator, and this Agreement is a contract to permit use of the Vehicle only as provided herein.

(c) Any person who has signed the Vanpool Driver Agreement and who Disney has authorized as a Primary Driver under the Van Pool Program is entitled to drive or ride the Vehicle free of charge, in exchange for maintaining their regular Driver responsibilities, at Disney’s discretion, in accordance with Program Guidelines.

3. Use of Vehicle.

The Vehicle will be used solely to pick up, transport and deliver other vanpool participants to and from their residences (or other locations agreed to by the Driver and the Passengers) and their places of employment (or other locations agreed to by Driver and the Passengers). Only the Primary Driver may use the Vehicle for personal use so long as the total personal use miles does not exceed two hundred (200) miles during any month. Driver will at all times operate the Vehicle in accordance with all applicable vehicle and safety laws, rules and regulations, at Disney’s discretion, in accordance with Program Guidelines.

4. Use Restrictions.

(a) Driver agrees that the Vehicle will not be used under any of the following conditions:

(i)         by any person under the influence of alcohol, narcotics or other intoxicants;

(ii)        driving in any race or speed test or contest;

(iii)       carrying passengers for hire or outside of the scope of the regular home-to work commute, as described in Section 2 herein;

(iv)       by any person not authorized, in writing, to drive by Disney or Operator;

(v)        to propel or tow any trailer or other vehicle;

(vi)       driving, except in an emergency, on other than paved public highways or paved or suitable graded private roads or driveways, or over bridges posted for a maximum weight of three (3) tons or less;

(vii)      driving outside of the State of California nor outside the continental United States without Disney’s prior written approval;

(viii)     parking the Vehicle overnight at a location other than the Driver’s residence, without Disney’s approval;

(ix)       operating the Vehicle without first making reasonable effort to insure that all occupants including the Driver are wearing their seat belts;

(x)        transporting non-Passenger groups, such as church groups, scout troops, athletic teams, etc., without Operator’s prior written approval;

(xi)       transporting any property deemed hazardous by reason of being flammable, explosive, fissionable or corrosive or any drugs or contraband material; or

(xii)      loading the Vehicle beyond the manufacturer’s stated passenger or weight capacity.

(b) Operation of the Vehicle by Driver under any of the above conditions will result in immediate forfeiture of Driver’s rights as provided in Section 9 herein.

5. Ownership of Vehicle.    

Operator is the sole owner of the Vehicle and neither Disney nor Driver has any right, title or interest in or to the Vehicle, except as to the use of the Vehicle as described in this Agreement.

6. Drivers.     

Driver is fully responsible for insuring that only Drivers who have signed a Vanpool Driver Agreement with Disney and who have been authorized by Operator, will be allowed to use or operate the Vehicle and only as permitted in this Agreement. Disney has the continuing right to approve Drivers according to Disney’s driver qualification standards, subject to approval of Operator. Disney has the right to remove any Driver who no longer meets Disney’s and Operator’s driver qualification standards.

7. Term.      

This Agreement becomes effective on the date that Driver and an authorized Disney representative have both executed the Agreement authorizing Driver to use the Vehicle under the stated terms and conditions.

8. Maintenance.

(a) Except in an emergency, Driver will arrange for all maintenance and repair to be performed by the Operator at facilities selected by Operator. In the event of an emergency, Driver may seek approval from Disney to have necessary maintenance and/or repair work performed and may seek reimbursement from Disney by submitting original paid receipts. Drivers will allow representatives of Operator to inspect the Vehicle at any time. If the Vehicle becomes inoperable, Operator will provide Driver with substitute transportation, as specified in the Vanpool Guidelines.

(b) No Driver will make any additions, alterations or modifications to the Vehicle without Disney’s prior written consent.

9. Insurance and Risk of Loss

(a) Operator will assume the risk of loss of or damage to the Vehicle from a collision or peril which would be insured against by standard comprehensive automobile physical damage insurance except to the extent such loss or damage occurs while the Vehicle is being operated or used in violation of Section 4 of this Agreement. Driver will be responsible for any loss of or damage to the Vehicle, damage to personal property or personal injury and/or wrongful death, which does not result from a collision or peril which would be insured against by standard comprehensive automobile insurance or which occurs while the Vehicle is being operated or used in violation of any of the terms of this Agreement. Operator will not be responsible for any loss of or damage to any personal property which is left in or on the Vehicle.

(b) Driver will immediately report to Disney and Operator any accident involving the Vehicle which results in any bodily injury or property damage and will complete and file with Disney a written report within three (3) days of the accident or loss. Upon receipt, Driver will immediately send to Disney each request, demand, order, notice, summons or other pleading received in connection with any accident involving the Vehicle. Driver will cooperate fully with Disney, Operator, its insurer and other agents or representatives in all accident investigations and settlements. Driver will not assume any obligation, make or commit to make any payment or incur any expense on Disney’s or Operator’s behalf without their prior written consent.

10. Representations of Drivers.  

 Driver represents and warrants that:

(a) Driver has and will maintain an appropriate, valid driver’s license to operate the Vehicle and he/she will at all times comply with all applicable restrictions contained in his/her license;

(b) Driver will, within twenty-four (24) hours, notify Disney and Operator of any (i) cancellation or lapse of Driver’s license or (ii) termination of Driver’s principal employment;

 (c) Driver will be solely responsible for any citations, and any resulting fines, fees and expenses, in connection with their use or operation of the Vehicle by Driver;

(d) Driver will, within three (3) days, notify Disney and Operator of the issuance of any citation for a moving violation involving the use of any motor vehicle and will send to Disney and Operator as proof of the resolution of the citation within thirty (30) days of such resolution;

(e) Driver will, when requested by Disney, be available to participate in a basic driver training/safety awareness orientation offered by Disney or a designated agent and will cooperate with respect to obtaining the motor vehicle driving record of Driver;

(f) Driver is responsible for refueling Vehicle at locations designated by Disney, preferably during non-commuting periods;

(g) Driver will submit the required vanpool monthly report to the Vanpool Administrator before the fifth (5th) day of each month; and

 

(h) Driver will pay the daily fare to their Alternate Drivers for each day that the Alternate Driver drives the Vehicle.

11. Termination.     

This Agreement may be terminated by Disney at any time. Driver may terminate this Agreement by giving Disney thirty (30) days prior written notice.

12. Return of Vehicle.          

 Driver agrees to return the Vehicle to Disney at the termination of this Agreement (or upon the demand of Operator in connection with the replacement or substitution of a Vehicle) in the same condition as when delivered, except for ordinary wear and tear, and damage which is the subject of a pending collision or comprehensive claim. Upon delivery and return of the Vehicle, Disney and Driver will inspect the Vehicle and jointly sign a report on its condition.

13. Entire Agreement.           

This Agreement may not be modified or amended in any respect, except by a writing signed by all parties. This Agreement constitutes an integration of the entire understanding and agreement of the parties, and any representation, premise or condition not specifically incorporated herein, shall not be binding upon either party.

14. Severability.         

 In the event that any provision of this Agreement is judicially construed to be invalid by a court of competent jurisdiction, such provision shall then be construed in a manner allowing its validity or, if this leads to an impracticable result, shall be stricken but, in either event, all other provisions of this Agreement shall remain in full force and effect. The parties hereto agree to reform these conditions and to replace any such invalid or unenforceable provision with a valid and enforceable provision that comes as close as possible to the intention of the stricken provision.

15Governing Law.     

This Agreement and the rights and obligations of the parties hereto shall be governed by, and construed in accordance with, the laws of the State of California.

16. Notices

All notices and/or other correspondence under this Agreement must be in writing and delivered in person or sent by U.S. mail to the applicable party at its address set forth on the signature page of the Agreement, or to such other address as such party may provide in writing from time to time.
